Boneek is a Bangladesh-based SaaS eCommerce operating platform that lets merchants build and manage online stores, handle orders, collect payments, manage deliveries and run dropshipping operations from a single dashboard. It includes, but is not limited to:

• Website / online store builder
• Built-in dropshipping marketplace and integration
• Order management system
• Courier service integration and parcel slip management
• Cash on delivery management
• Fake order protection
• AI Calling
• Payment gateway integration
• Business analytics dashboard and reporting

Boneek may add, modify or discontinue any feature at any time, with or without prior notice, and will make reasonable efforts to notify Merchants of significant changes.

You must create an account with accurate, complete and up-to-date information. To register you must be at least 18 years of age, capable of operating a lawful business under the laws of Bangladesh, and responsible for the accuracy of what you provide.

Each account is for a single individual or business entity. Creating accounts under false identities or impersonating others is prohibited. You are solely responsible for the confidentiality of your login credentials, and must report any unauthorised access immediately; Boneek is not liable for loss arising from your failure to secure your account. Boneek may reject an application or cancel an account at its sole discretion.

Plan details, features and pricing are published on the pricing page and may be updated from time to time. Your account is activated immediately upon successful payment.

• Annual plans are billed upfront for the full subscription period.
• Fees are generally non-refundable, subject to the separate Refund Policy.
• Subscriptions may auto-renew at the end of the billing period where applicable.
• Merchants are given at least 30 days' notice of any price change.
• A failed or overdue payment may result in suspension until the outstanding amount is settled.
• All applicable taxes, duties and third-party processing fees are the Merchant's responsibility.

You are fully responsible for the products and services sold through your Boneek store - their legality, quality, the accuracy of their descriptions, and their fulfilment. Boneek is a platform provider and is not a party to any transaction between you and your customers. All disputes between you and your customers, including delivery, product quality, returns and refunds, are your sole responsibility.

You may not use the platform to:

• Sell or promote anything illegal or prohibited under the laws of Bangladesh
• Trade in narcotics, weapons, explosives, or controlled substances
• Distribute counterfeit, pirated, or infringing goods
• Publish false, misleading, or deceptive product information or advertisements
• Upload or distribute sexually explicit, obscene, or otherwise harmful content
• Distribute spam, viruses, malware, or any harmful software
• Collect or misuse other merchants' or customers' personal data without authorisation
• Reverse engineer, decompile, or attempt to extract the platform's source code
• Circumvent any technical limitation or security feature of the platform

Products listed on the Dropshipping Marketplace are sourced from independent third-party suppliers. Boneek does not own, manufacture or inspect them and makes no warranty as to their quality, availability or delivery timelines. The relationship between a supplier and a merchant is entirely independent; Boneek acts solely as a technology intermediary.

You remain solely responsible for the descriptions, pricing and representations you make to your own customers, whatever the supplier provided through the platform. Boneek may attempt to facilitate communication in a supplier dispute but is under no obligation to resolve one.

All technology, design, source code, brand identity, trademarks, logos and platform content are the exclusive property of Boneek, and nothing in these Terms grants you ownership of any of it. You may not use Boneek's name, logo or identifying marks in external material without prior written permission.

Content you upload to your store - product images, descriptions, logos - remains yours. By uploading it you grant Boneek a non-exclusive, royalty-free licence to use it solely to operate and deliver the platform's services. You must not upload content that infringes anyone's intellectual property, and bear full liability if you do.

Collection, storage and use of personal data is governed by our separate Privacy Policy, which forms an integral part of these Terms. We employ industry-standard security measures, but no internet-based system can guarantee absolute security, and Boneek is not liable for breaches arising from circumstances beyond its reasonable control.

You are responsible for ensuring your handling of your customers' personal data complies with the laws of Bangladesh. Boneek will not sell your business data to third parties.

To the fullest extent permitted by law, Boneek is not liable for:

• Loss of revenue, profits, business opportunities or goodwill arising from your use of the platform
• Service failures caused by third parties - couriers, payment gateways, suppliers or telecom providers
• Temporary unavailability due to internet outages, infrastructure issues or scheduled maintenance
• Legal claims, penalties or disputes arising from your business activities or content
• Unforeseen technical errors, system failures or accidental data loss

Boneek's total aggregate liability to you will not exceed the value of your most recent subscription fee. The platform is provided on an as-is and as-available basis, with no warranty of specific business results or uninterrupted availability.

You agree to indemnify and hold harmless Boneek, its directors, employees and agents against any claims, liabilities, damages, costs or legal expenses arising from your breach of these Terms, third-party claims resulting from your business conduct, intellectual property infringement in content you published, or any violation of applicable law in connection with your use of the platform.

Boneek may suspend or permanently terminate your account, with or without notice, for a material breach of these Terms, fraudulent or unlawful activity, non-payment, or actions that damage Boneek's reputation or affect other merchants.

You may cancel at any time; your account stays active until the end of the current billing period. After termination or cancellation you have 30 days to download or export your business data, after which Boneek may permanently delete it.

Boneek integrates with courier companies, payment gateways and product marketplaces, each governed by its own terms which you are responsible for reviewing and accepting. Boneek is not responsible for failures, pricing changes, interruptions or discontinuation of any third-party service, nor for the content or practices of any external website linked from the platform.

Boneek may modify these Terms at any time; the current version is always published here. For significant changes we give at least 14 days' notice by email or on the dashboard. Continued use after an amendment constitutes acceptance - if you do not agree, you must stop using the platform and cancel your subscription.

These Terms are governed by the laws of the People's Republic of Bangladesh. Both parties agree to attempt resolution of any dispute through good-faith negotiation within 30 days of it arising, and may agree to submit an unresolved dispute to binding arbitration. Should arbitration fail or not apply, the courts of Dhaka, Bangladesh have exclusive jurisdiction.

If any provision is found unlawful or unenforceable it is severed without affecting the rest. A delay in exercising a right is not a waiver of it. These Terms, with the Refund Policy and Privacy Policy, are the entire agreement between Boneek and the Merchant and supersede any prior understanding. You may not assign your rights under them without Boneek's written consent; Boneek may assign its own freely. Where an English and a Bengali version differ, the English version prevails.
